ALTSeek Platform User Agreement

1. Acceptance of These Terms
This User Agreement (the "Agreement") is between ALTSeek LLC ("ALTSeek," "we," or "us") and each person who registers for or uses the ALTSeek platform, website, ratings, profiles, data, and related services (the "Services").
By creating an account, clicking to accept, or using the Services, you agree to this Agreement. If you use the Services on behalf of a firm, you represent that you are authorized to bind that firm, and "you" includes both you and the firm. If you do not agree, do not use the Services.
2. About ALTSeek and the Services
ALTSeek publishes ratings, profiles, and related information on alternative investment programs, including non-traded programs, registered closed-end funds, and private placements. The Services are a research and information tool for financial professionals and related industry participants.
ALTSeek provides the same general information to all users with access to a given tier. Content is not tailored to the objectives, financial situation, or needs of any user, investor, or account.
ALTSeek is not a registered investment adviser, broker-dealer, or credit rating agency, and is not a nationally recognized statistical rating organization. ALTSeek Ratings are not credit ratings. Nothing in the Services is investment, legal, tax, accounting, or insurance advice.
3. Eligibility and Accounts
The Services are available only to the following, and to their authorized personnel:
- Broker-dealers and their registered representatives
- Investment advisers, including registered investment advisers and family offices
- Sponsors of programs covered by the Services
- Insurance carriers and their authorized personnel
- Industry affiliates (CPAs, transfer agents, administrators, etc.)
- Other categories as approved by ALTSeek in its sole discretion
You must be at least 18 and provide accurate registration information, including your firm and role. ALTSeek may verify eligibility and may decline or limit any registration.
Accounts are personal to the individual user. You may not share login credentials, and you are responsible for activity under your account. Notify ALTSeek promptly of any unauthorized access.
4. Access Tiers and Fees
The Services are offered in a free tier and one or more paid tiers. Each tier's content and features are described on the platform and in any order form. ALTSeek may change tier content over time.
Paid tiers are billed annually/monthly in advance and renew automatically for the same term unless canceled 30 days before renewal. Fees are non-refundable except as required by law or stated in an order form. ALTSeek may change fees with 30 days' notice, effective at the next renewal. Late amounts may result in suspension of paid access.
Where a firm has a separate signed agreement or order form with ALTSeek, that document controls over this section to the extent they conflict.
5. Nature of the Content: No Advice
ALTSeek Ratings, scores, profiles, commentary, and data ("Content") are general information. Content is not:
- Investment advice or a recommendation to buy, sell, hold, or avoid any program
- An offer or solicitation for any security
- A suitability, best interest, or fiduciary determination
- Due diligence, or a substitute for the due diligence a firm is expected to perform before offering a program
You remain solely responsible for your own investment, suitability, and product approval decisions and for your firm's regulatory obligations. A program's presence on ALTSeek, or its rating, does not mean it has been reviewed in full, approved, or found appropriate for any investor.
6. Ratings and Methodology
ALTSeek scores each program using screens drawn from a common pool designed to provide a consistent basis for comparing structural risk considerations across alternative investments. Analysts apply them situationally, based on the program's structure and their professional judgment, so programs are not all scored on identical screens.
Scores reflect the program's structure as disclosed in its documents. They do not reflect an analysis of the quality of the programs' underlying investments and do not predict performance or loss. A higher score does not mean a program is suitable for any investor, and a lower score does not mean a program should be avoided.
The methodology is proprietary and is refined over time. ALTSeek may change the methodology, screens, and scores without notice, and scores produced under different methodology versions may not be directly comparable. ALTSeek is not obligated to disclose its internal models, weightings, or formulas.
7. Sources and Currency of Information
Ratings are based on program documents and reflect information as of the date of each document reviewed. Content relies on the sponsor's disclosures as presented. Responsibility for the accuracy and completeness of program documents rests with the program sponsor.
Ratings may be updated for material events, but programs are not continuously monitored, and later developments may not be reflected until a rating is updated. Always review a program's current offering documents before making any decision.
Where a sponsor's published information differs from its offering documents, a profile may present the sponsor-published figure and may note the difference.
Some programs may be listed before they are rated, or where the sponsor has not made core documents available. Those listings will indicate their status.
8. Restricted Content
Certain Content, including the Claim Loss Estimate, is available only to designated users or tiers and is subject to additional terms presented with that Content. Those additional terms form part of this Agreement for users with access.
You may not share restricted Content with anyone outside your authorized user group, including other users of the Services who do not have access to it.
9. Permitted Use and Restrictions
You may use the Content for your own internal research and your firm's internal business purposes. You may not:
- Distribute Content to investors or the public, or use it in client-facing materials
- Present Content as a recommendation, endorsement, or due diligence conclusion
- Use ALTSeek's name, ratings, or scores in marketing or sales materials without ALTSeek's prior written consent
- Resell, sublicense, or republish Content, or build a competing product or dataset from it
- Scrape, bulk download, or use automated means to access the Services, except through tools ALTSeek provides
- Use Content to train or develop machine learning or AI models
- Alter Content, or remove or obscure any disclosure or attribution
- Attempt to circumvent tier restrictions, access controls, or security measures
ALTSeek may monitor use of the Services to enforce these restrictions.
10. Program Sponsor Users
Sponsors cannot pay for a rating, a score, or placement on the platform, and do not review or approve Content before publication.
Sponsors may submit documents, updates, and proposed corrections. ALTSeek will consider them, but decisions on whether and how to update Content, and whether to publish or continue to publish any program, are at ALTSeek's discretion.
By submitting materials, a sponsor represents that it has the right to provide them. Materials provided under a confidentiality or nondisclosure agreement will be handled under that agreement, which controls over this Agreement for those materials.
11. Insurance Carrier Users
Content, including any Claim Loss Estimate, is not an actuarial analysis, an underwriting recommendation, or a prediction of any claim or loss. Carriers remain solely responsible for their own underwriting, pricing, and coverage decisions.
Access to Content does not include access to ALTSeek's internal models, data, or formulas.
12. Private Placements
Private placements are offered under exemptions from registration and are not subject to the same regulatory review and disclosure requirements as registered offerings. Their offering documents are not reviewed by the SEC.
Ratings for private placements rely primarily on the private placement memorandum, operating agreement, and equivalent documents. Users should verify key items directly with the sponsor and the offering documents. Statements in private offering documents remain subject to the anti-fraud provisions of the federal securities laws, including Rule 10b-5, which are the principal federal recourse where material misstatements or omissions are found.
13. Relationships and Conflicts
ALTSeek is affiliated with Buttonwood Due Diligence, LLC ("Buttonwood"). Buttonwood provides due diligence and consulting services to broker-dealers, investment advisers, and family offices, and may provide services relating to programs that appear on ALTSeek.
ALTSeek Ratings are produced under ALTSeek's methodology and are not influenced by any fee arrangement.
14. Intellectual Property
The Services, Content, methodology, scores, software, and the ALTSeek name and marks are owned by ALTSeek or its licensors. Subject to this Agreement, ALTSeek grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services and Content for the purposes permitted in Section 9. All other rights are reserved.
Program documents and sponsor materials remain the property of their owners.
15. User Submissions and Confidentiality
If you submit documents, data, comments, or feedback, you grant ALTSeek a non-exclusive, royalty-free license to use them to operate and improve the Services, subject to any applicable nondisclosure agreement. ALTSeek may use feedback without obligation to you.
ALTSeek may use technology tools, including AI-assisted tools, to process documents and support its analysts.
Non-public Content, including restricted Content, is ALTSeek's confidential information and may not be disclosed except as this Agreement permits.
16. Disclaimers
THE SERVICES AND CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, ALTSEEK DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF ACCURACY, COMPLETENESS, TIMELINESS, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, AND DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.
Alternative investments involve significant risks, including illiquidity, loss of principal, leverage, conflicts of interest, and limited transparency. Past performance does not guarantee future results.
17. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, ALTSEEK, ITS AFFILIATES, AND THEIR OWNERS, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY INVESTMENT LOSSES, LOST PROFITS, OR LOST DATA, ARISING FROM OR RELATING TO THE SERVICES OR CONTENT, OR ANY RELIANCE ON THEM.
ALTSEEK'S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF THE FEES YOU PAID ALTSEEK IN THE 12 MONTHS BEFORE THE CLAIM AROSE OR $100.
These limits apply whatever the theory of liability and even if ALTSeek was advised of the possibility of damages. Nothing in this Agreement waives rights that cannot be waived under applicable securities laws.
18. Indemnification
You will indemnify and hold harmless ALTSeek, its affiliates, and their owners, officers, employees, and agents from claims, losses, and expenses, including reasonable attorneys' fees, arising from your breach of this Agreement, your misuse of the Services or Content, including distribution to investors or use in marketing, or investment or product decisions made by you or your firm.
19. Suspension and Termination
You may close your account at any time. ALTSeek may suspend or terminate access at any time , with or without notice.
On termination, your license ends and you must stop using restricted Content. Sections 5 through 7, 9, and 13 through 22 survive termination.
20. Changes to the Services and These Terms
ALTSeek may change, add, or remove features, Content, and programs covered at any time. ALTSeek may update this Agreement and may notify users of material changes. Continued use after the effective date of a change constitutes acceptance, and ALTSeek may require renewed click-through acceptance.
21. Governing Law and Disputes
This Agreement is governed by the laws of the State of Colorado, without regard to conflict-of-law rules. Disputes will be resolved exclusively in the state or federal courts located in Denver / Jefferson County, Colorado, and the parties consent to that jurisdiction.
22. General Terms
This Agreement, together with any order form, additional terms for restricted Content, and the Privacy Policy, is the entire agreement on its subject. If a provision is unenforceable, the rest remains in effect. A failure to enforce a provision is not a waiver. You may not assign this Agreement without ALTSeek's consent, and ALTSeek may assign it to an affiliate or successor. Neither party is liable for delays caused by events beyond its reasonable control.
