Each InvestCo SPV buys 99% of a HoldCo SPV from Tranquility AI, Inc. for ~$1.25M; each HoldCo holds contract rights to ~105 single-user, 12-month subscriptions (TimePilot Keys) to Tranquility's AI investigative SaaS platform for law enforcement. After the offering closes, Class B holders vote by majority to either sell the Keys to retail buyers for profit or donate them to a 501(c)(3) public charity, passing an FMV-based charitable deduction to investors via K-1.
